We have a long-standing presence in China. We opened our office in Hong Kong in 1974 and our office in Beijing in 2009.

We have accumulated over 50 years of experience in providing high-quality legal services to PRC, Hong Kong, Asian and multinational clients across the Asia Pacific region. 

We advise on a broad range of work involving China, including inbound and outbound investments, as well as corporate, commercial, financing, dispute resolution, regulatory/investigations, real estate and competition and antitrust legal services.

Our lawyers practise English and Hong Kong law and provide a US securities law capability for capital markets transactions in Hong Kong. Our teams are fluent in English, Mandarin and Cantonese and are able to draft, negotiate and advise in a dual-lingual environment.

  • Corporate and M&A - We are known as the “go-to” firm for the most complex, novel and high-profile M&A transactions, often involving multiple jurisdictions, in China. We have experience of all types of corporate and commercial work, including general advice on listing, governance and board matters, joint ventures and other strategic co-operation arrangements and restructurings.
  • Competition - We offer a service that is unique in its quality, depth and scope: we advise on Hong Kong, EU and UK competition law, and have an in-depth understanding of PRC competition law as well as regimes across Asia Pacific. We have been at the forefront of Hong Kong’s sector-specific competition practice and in the region our experience includes cross-border mergers and merger control regulation, competition litigation, including appeals and private actions, and antitrust advice.
  • Equity and Debt Capital Markets - We have extensive experience acting for both issuers and underwriters on equity and debt capital markets transactions, handling dual and triple listings on key stock exchanges globally in many different industry sectors, as well as advising on bond issues and debt programmes. We provide US, Hong Kong and English law capabilities for capital markets transactions in Hong Kong.
  • Private Equity - We advise on the full range of transactions, from venture capital investments to cross-border deals. We support our clients throughout the lifecycle of their capital structure, from initial acquisition, acquisition to refinancing and – in many cases – exit, dealing with related treasury requirements as they arise in the meantime.
  • Financing - We act for lenders, borrowers, issuers, underwriters and sponsors on complex and highly structured corporate and investment grade lending, syndicated loan, acquisition and leveraged finance, project finance, real estate finance, debt and equity, and certain funds finance. We have advised on high-value green and other sustainable loans to major corporate borrowers in Hong Kong and PRC for an aggregate value of over US$10 billion.
  • Disputes and Investigations - Our clients turn to us for strategic regulatory advice on a wide range of matters, including commercial and financial disputes, shareholder disputes, commercial fraud, domestic and international arbitrations, corporate crises, personal data breaches, regulatory and other local and cross-border formal inquiries and investigations and judicial review.
  • Real Estate - We are the only magic circle firm in Hong Kong with a real estate practice and have a substantial property practice which covers commercial and residential property work, including property development and financing, direct property transactions, corporate real estate transactions and REITs.
  • Environmental, Social and Governance - We provide our clients with teams of committed, high-quality multi-specialists, all with experience advising at the forefront of ESG developments. Those teams are complemented by our dedicated sustainability lawyers. They keep pace with, and advise on, ESG issues full-time, and act as the glue between the many strands of ESG-related work across our practice areas.
