AGMs and impact of COVID-19: Supplemental Guidance

Since we published our joint guidance with ICSA on the impact of COVID-19 on AGMs, the Government has enacted additional measures, including restrictions on public gatherings, which will pose further challenges. In the light of this, updated guidance has been prepared suggesting how companies can continue to hold their AGM (or another general meeting) should they wish to.
This supplemental guidance was prepared by a number of City law firms, including Slaughter and May, and The Chartered Governance Institute, with the support of the Financial Reporting Council, GC100, the City of London Law Society Company Law Committee, the Investment Association and the Quoted Companies Alliance. The Department for Business, Energy and Industrial Strategy (BEIS) has also reviewed the guidance.
