Slaughter and May is advising INEOS Enterprises on the sale of the INEOS Calabrian business

Slaughter and May is advising INEOS Enterprises on the sale of its Calabrian business to Ecovyst Inc. for a purchase price of $190mn, subject to certain customary adjustments. Through its manufacturing facilities in Port Neches, Texas, USA and Timmins, Ontario, Canada, Calabrian is a leading producer of sulfur dioxide and related sulfur derivatives in North America, serving key end uses including mining, water treatment and specialty chemical production.

The proposed deal is expected to complete at the end of the second quarter of 2026, subject to the satisfaction of certain closing conditions.

Slaughter and May, led by partner Sally Wokes and senior counsel Eleanor Mackay, has been working closely with the INEOS legal team, led by Robert Mace.
