Slaughter and May is advising Just Group on its recommended all-cash offer by Brookfield Wealth Solutions

Slaughter and May is advising Just Group plc (“Just”) on a recommended all-cash offer by Brookfield Wealth Solutions (“BWS”) for the entire issued and to be issued share capital of Just, to be effected by means of a court-sanctioned scheme of arrangement. 

Under the terms of the BWS offer, Just shareholders will be entitled to receive 220 pence per Just share. The offer values Just at approximately £2.4 billion and represents a premium of approximately 75% to Just’s closing share price prior to the announcement of the offer, and a 60% premium on a three-month VWAP basis. Subject to the satisfaction of conditions, the transaction is expected to complete in the first half of 2026.
