Slaughter and May is advising Royal Dutch Shell plc on its simplification
Slaughter and May, working as a team with De Brauw Blackstone Westbroek and Cravath, Swaine & Moore LLP, is advising Royal Dutch Shell plc on a proposal to amend its Articles of Association to enable a simplification of its share structure. The simplification entails:
- establishing a single line of shares to eliminate the complexity of Shell’s A/B share structure; and
- aligning Shell’s tax residence with its country of incorporation in the UK by relocating Board and Executive Committee meetings, and the CEO and CFO, to the UK; and consequently changing the company’s name from Royal Dutch Shell plc to Shell plc.
The amendments to the Articles of Association will be put to a vote at a general meeting scheduled to be held on December 10, 2021.
