Slaughter and May advised China International Capital Corporation Hong Kong Securities Limited - privatisation of Hunan Nonferrous Metals Corporation Limited
Slaughter and May, Hong Kong, advised in relation to the privatisation of Hunan Nonferrous Metals Corporation Limited (HNMCL). Slaughter and May advised China International Capital Corporation Hong Kong Securities Limited, the financial adviser to Hunan Nonferrous Metals Jinsheng Development Limited (Jinsheng), a company controlled by China Minmetals Corporation, on the privatisation of HNMCL by Jinsheng pursuant to a voluntary general offer followed by a merger by absorption.
HNMCL was an integrated producer of nonferrous metals in the PRC, possessing a vertically-integrated and centralised production chain that included upstream exploration, mining and ore processing as well as midstream smelting, downstream refining and value-added processing. HNMCL was a PRC-incorporated company the H shares in which were listed on the Hong Kong Stock Exchange.
China Minmetals Corporation was the ultimate parent company and controlling shareholder of Jinsheng, and was an international metals and mining corporation primarily engaged in exploration, mining, smelting, processing and trading for metals and minerals, and was also engaged in finance, real estate, and mining and metallurgic technology.
The transaction was announced on 11 December 2014 and was approved by the shareholders, the independent shareholders and the independent H shareholders, respectively, of HNMCL on 6 March 2015. HNMCL was de-listed from the Hong Kong Stock Exchange after completion of the H share offer on 1 April 2015.
