Slaughter and May is advising Wood Group on its recommended all-share offer for Amec Foster Wheeler

Slaughter and May is advising John Wood Group plc on its recommended all-share offer for Amec Foster Wheeler plc.

Based on the pre-announcement closing price of a Wood Group share, the terms of the combination value Amec Foster Wheeler at approximately £2,225 million. Following completion of the combination, Wood Group’s shareholders will own approximately 56 per cent. of the combined group.

The combination is to be effected by court-sanctioned scheme of arrangement and is conditional on various matters, including shareholder approvals and certain competition and regulatory clearances. It is expected to close in the second half of 2017.
