Slaughter and May advised Global Payments on its acquisition of Worldpay from FIS and GTCR and the divestiture of its issuer solutions business to FIS

Slaughter and May advised Global Payments, a leading worldwide provider of payment technology and software solutions, on its acquisition of Worldpay from FIS and GTCR for a total value of USD 24.25 billion and the divestment of its Issuer Solutions business to FIS for a total value of USD 13.5 billion. The transaction also involved a pre-closing reorganisation of the Issuer Solutions subsidiaries and GTCR’s acquisition of a 15% stake in Global Payments.

Slaughter and May served as UK and EU legal advisor to Global Payments and coordinated all counsel outside of North America. Slaughter and May advised on and coordinated certain corporate steps leading to closing, and was Global Payments’ lead adviser on obtaining all required non-North American antitrust, foreign investment and financial regulatory approvals and regulatory engagement with competent authorities in more than 20 jurisdictions.
