Slaughter and May is advising Interserve Group Limited (Interserve) on the proposed merger of Interserve Support Services with Mitie Group PLC (Mitie) for a combined consideration of £271m, comprising £120m in cash and ordinary shares in Mitie representing 23.4% of the post-transaction enlarged share capital of Mitie.
Interserve and Mitie are both leaders of the UK facilities management outsourcing industry and the combined organisation will be the largest facilities management company in the UK.
The transaction is conditional upon, among other things, Mitie shareholder approval as a Class 1 transaction and CMA approval. It is expected to complete by the end of this year.
Following completion of the transaction, Interserve Group Limited will continue to focus on delivering its business plans for its three remaining divisions, Construction, Interserve Construction Limited and Equipment Services (RMD Kwikform) and Citizen Services.
